FORMAL NOTICE

The VESTAL website is a central editorial, creative, and commercial asset of VESTAL. It represents years of continuous creative development, editorial direction, design, organization, maintenance, and investment.

The website was conceived, designed, developed, and maintained by Kevin Sinclair, through extensive independent work performed over many years. Its visual identity, editorial presentation, structure, organization, navigation, photographic presentation, written presentation, and overall creative direction reflect that development.

The purpose of this policy is to establish clear boundaries for every individual who receives access to the VESTAL website, regardless of title, position, or length of service.

Access to the VESTAL website is a privilege granted for authorized VESTAL business purposes. Access does not constitute ownership of the website, the VESTAL brand, its underlying business, or its intellectual property.


1. Site Ownership and Authority

The Squarespace account currently identifies Kevin Sinclair as the Site Owner.

Administrative or contributor access granted to another individual is delegated access for the performance of authorized responsibilities.

No administrator, contributor, employee, contractor, collaborator, or other person with access may represent administrative access as ownership of the VESTAL website.

The Site Owner retains responsibility for the protection, continuity, security, and overall development of the website.


2. Editorial and Creative Direction

VESTAL is an editorial publication and creative platform.

All website activity must remain consistent with VESTAL's established:

  • Editorial identity

  • Visual identity

  • Brand standards

  • Publishing standards

  • Creative direction

  • Organizational structure

  • Professional presentation

The Editor-in-Chief retains final editorial authority over the publication and its presentation.

Contributors may be assigned specific responsibilities, but assignment of responsibility does not create independent authority to redirect, restructure, or materially alter VESTAL.


3. Authorization for Website Changes

No individual with administrative or contributor access may independently make material changes to the VESTAL website without appropriate authorization.

This includes, but is not limited to:

  • Changing the website structure

  • Reorganizing navigation

  • Removing pages

  • Removing published editorial material

  • Altering the homepage

  • Changing established branding

  • Altering major design elements

  • Modifying custom code

  • Installing or removing significant integrations

  • Changing domain configuration

  • Making material SEO changes

  • Connecting unauthorized third-party services

  • Altering archival organization

  • Deleting or replacing significant website assets

Routine editorial assignments may be performed within the scope specifically authorized.

When there is uncertainty, the change must be discussed before it is made.


4. Protection Against Unauthorized Manipulation

No person with access to the VESTAL website may intentionally or negligently manipulate the website in a manner that could damage:

  • Its operation

  • Its visual presentation

  • Its editorial integrity

  • Its archives

  • Its search visibility

  • Its commercial relationships

  • Its reputation

  • Its security

  • Its continuity

  • Its underlying development

The absence of an express prohibition on a particular action does not constitute authorization.


5. Duplication, Recreation & Independent Use

No VESTAL administrator, contributor, employee, contractor, collaborator, or other person granted access to the VESTAL website is authorized to duplicate, clone, reproduce, recreate, export for reproduction, migrate, transfer, or otherwise recreate the VESTAL website or any substantial portion of its structure, design, editorial architecture, proprietary materials, or confidential business information without the prior written authorization of the Site Owner.

This prohibition applies regardless of the technical method used.

It includes attempts to recreate the website through another account, platform, domain, hosting environment, development environment, or other digital system.

It also applies to the unauthorized reproduction of VESTAL's distinctive website structure, organization, editorial presentation, proprietary materials, and other elements developed specifically for VESTAL.


6. No Circumvention

No individual may attempt to circumvent VESTAL's established ownership, access, security, administrative, or authorization procedures.

This includes attempts to:

  • Obtain unauthorized credentials

  • Access another person's account

  • Change account recovery information

  • Circumvent security measures

  • Establish unauthorized administrative access

  • Transfer assets without authorization

  • Create unauthorized copies

  • Move VESTAL assets to another account

  • Create a competing or substantially derivative website using protected VESTAL materials


7. Website Archives and Historical Materials

VESTAL's website contains an evolving editorial archive.

Published articles, imagery, editorial pages, layouts, historical materials, and other significant assets must not be deleted, destroyed, concealed, materially altered, or relocated without authorization.

The historical development of the website is itself an important part of VESTAL's digital record.


8. Creative Contributors and Artist Rights

VESTAL respects the ownership rights of photographers, writers, filmmakers, artists, designers, talent, and other creative contributors.

Publication of creative work on VESTAL does not, by itself, transfer ownership of that creator's original work to VESTAL.

Where necessary, VESTAL should obtain appropriate permissions, licenses, releases, or written agreements governing the permitted use of contributed material.

No administrator may represent VESTAL as owning another person's original creative work without appropriate documentation.


9. Confidential Information

Individuals with administrative access may encounter confidential information, including:

  • Unreleased editorial material

  • Talent information

  • Publicist contacts

  • Brand relationships

  • Business proposals

  • Financial information

  • Contracts

  • Editorial plans

  • Unpublished photography

  • Internal communications

  • Strategic plans

  • Contributor information

  • Account credentials

Such information may only be used for authorized VESTAL purposes.


10. Account Security

Every person receiving access is responsible for maintaining the security of their individual credentials.

Passwords and authentication information must not be shared.

No individual may permit another unauthorized person to access their VESTAL account.

Any suspected unauthorized access, security issue, or compromise must be reported immediately.


11. Documentation and Audit Trail

VESTAL may maintain records of significant website activity, including:

  • Contributor responsible

  • Date of change

  • Nature of change

  • Authorization

  • Reason for change

  • Resulting modification

This documentation is intended to preserve an accurate record of the website's development and administration.


12. Suspension or Termination of Access

Access to the VESTAL website may be suspended or terminated when necessary to protect the website, its security, its intellectual property, its editorial integrity, or its business operations, subject to applicable agreements and law.

Upon termination of access, the individual must cease using VESTAL credentials and must not retain or use confidential VESTAL materials except where otherwise legally authorized.


13. Unauthorized Conduct

Any unauthorized attempt to duplicate, recreate, transfer, damage, disable, manipulate, or materially interfere with the VESTAL website or its associated digital assets may result in immediate suspension or termination of access and may be referred to legal counsel for any remedies available under applicable law.

Nothing in this policy authorizes conduct that violates applicable law, contractual obligations, copyright, trademark, privacy, publicity, or other legally protected rights.


OFFICIAL STATEMENT

VESTAL™ operates according to a defined standard of editorial integrity, creative responsibility, professional conduct, and digital protection.

These rules and regulations establish the standards governing access to, participation in, and work conducted on behalf of VESTAL™.

They apply to all individuals granted access to VESTAL's website, digital systems, editorial materials, archives, creative assets, confidential information, and other company resources, regardless of title, position, or duration of access.

Access to VESTAL is granted for authorized purposes and carries a responsibility to protect the integrity, security, development, reputation, and creative foundation of the publication.
